Acceptance of Terms
By accessing or using ohanaconsulting.com (the "Site") or any services offered by Ohana Consulting ("Ohana," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Site or our services. If you are using the Site on behalf of an entity, you represent that you have authority to bind that entity to these Terms.
Services Description
The Site provides information about Ohana's consulting services in eCommerce, operations, and strategy, along with related content, tools, and lead-capture forms. Information on the Site is provided for general informational purposes only and does not constitute professional advice for any specific situation. Use of the Site does not create a consulting, advisory, or other professional relationship between you and Ohana.
Engagement Terms
Any consulting engagement with Ohana is governed by a separately executed master services agreement and statement of work ("MSA/SOW") between you and Ohana, not by these Terms. Where there is a conflict between these Terms and an executed MSA/SOW, the MSA/SOW controls for matters within its scope. Fees, deliverables, timelines, acceptance criteria, and warranties for any specific engagement are defined in the corresponding SOW.
Confidentiality
Information that you share with us in connection with a prospective or active engagement, and that is marked confidential or that a reasonable person would understand to be confidential, will be treated as confidential. We will use such information only to evaluate or perform services, and will not disclose it to third parties except to our personnel and subcontractors who need it for those purposes and are bound by similar obligations. Confidential information does not include information that is publicly available, independently developed, or rightfully received from a third party without confidentiality obligations.
Intellectual Property Ownership
All content, branding, designs, code, copy, and other materials on the Site are owned by Ohana or our licensors and are protected by intellectual-property laws. Except as expressly permitted by these Terms, you may not copy, modify, distribute, publish, or create derivative works of the Site's content without our written consent. Allocation of intellectual-property rights in deliverables produced during a consulting engagement is governed by the applicable MSA/SOW.
Limitations of Liability
To the maximum extent permitted by law: (a) the Site and its content are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or availability; (b) Ohana will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or related to your use of the Site; and (c) Ohana's total cumulative liability for all claims arising out of or related to the Site will not exceed one hundred US dollars (US$100). These limitations apply regardless of the legal theory and even if Ohana has been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of these limitations may not apply to you.
Governing Law
These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict-of-laws principles. The state and federal courts located in Travis County, Texas have exclusive jurisdiction over any dispute arising out of or related to these Terms, and you consent to personal jurisdiction and venue in those courts. If any provision is held unenforceable, the remainder will remain in full force and effect.
Modifications
We may update these Terms from time to time. The updated version will be posted on this page with a revised "Last updated" date. Your continued use of the Site after changes take effect constitutes acceptance of the updated Terms; if you do not agree, stop using the Site.
